The Board of Directors carries out the Company management function by adhering to the Board of Directors Charter, a guideline designed to ensure that all members of the Board of Directors act in alignment with the Company’s interests. This document serves as the main reference so that every decision and action of the Board of Directors remains within the corridor of regulations, the Articles of Association, and widely accepted corporate governance practices. The preparation of the Board of Directors Charter refers to the provisions in Law Number 40 of 2007 concerning Limited Liability Companies, Law Number 8 of 1995 concerning the Capital Market, OJK Regulation Number 33/POJK.04/2014 concerning the Board of Directors and Board of Commissioners of Issuers or Public Companies, OJK Circular Letter Number 32/SEOJK.04/2015 and its attachments regarding Guidelines for Good Corporate Governance for Public Companies, and the regulations for the listing of equity-based securities as stipulated in Securities Listing Regulation Number 1-A. All these provisions serve as the foundation for ensuring the Board of Directors works with good and consistent governance standards.
